    (1) Liquidated Damages
    译：违约赔偿
    (a) If any Local Contractor fails to meet the delivery time agreed in the relevant Local Contract, and subject to the provisions of such Local Contract or herein, the SD&AS Contractor shall, on behalf of the Owner, claim the (liquidated) damages from the Local Contractor, which shall be paid directly to the Owner or deducted by the Owner from any payment under the relevant Local Contract.
    译：如果任何本地承包方没有遵守相关本地合同中的交货时间，则根据该本地合同或本协议的规定，方案设计和相关服务承包方应代表业主方要求本地承包方支付违约赔偿金，应直接向业主方支付或由业主方根据相关本地合同尚未支付的合同价格中扣除。
    (b) If the total amount of delay liquidated damages payable by the SD&AS Contractor calculated on the rate set out in the sub-Clause 2.6.1 above exceeds the total amount of delay damages payable by the Local Contractors and the SD&AS Contractor (within the capacity of the contractor performing the Scheme Design Services) under the respective Local Contracts and the SD&AS Contract, the SD&AS Contractor’s sole liability to the Owner with respect to delay in achieving the Mechanical Completion shall be to pay, but subject to the limitation set forth in sub-Clause 2.6.1, such exceeding amount to the Owner. SD&AS Contractor shall pay such amount to the Owner immediately after the SD&AS Contractor, acting on behalf of the Owner, has settled all the liquidated damages with all the liable Local Contractors.

    In sum, the Owner’s sole and exclusive remedy with respect to delay in achieving the Mechanical Completion is described in the following formula:

    In the above formula:
