    1.Definition. “Confidential Information” of the Disclosing Party means any and all technical and non-technical information of the Disclosing Party that is disclosed (directly or indirectly) to the Recipient, or to which the Recipient may gain access in the performance of this Agreement, whether disclosed orally, visually or through any tangible medium, that the Disclosing Party designates as being confidential or which, under the circumstances of disclosure, would reasonably be considered to be confidential. Confidential Information also includes proprietary or confidential information of any third party that may be in the Disclosing Party’s possession, and the terms of this Agreement.

    2.Use/Disclosure. The Recipient covenants and agrees that at all times and notwithstanding any termination or expiration of this Agreement, it will:

    (a)hold Confidential Information in strict confidence and take all precautions to protect such Confidential Information as the Recipient employs with respect to its most confidential materials, but in no case less than reasonable precautions; and
    译：严格保守保密信息的秘密并采取所有预防措施对此类保密信息进行保护，其程度相当于接收方对其最高机密资料的保护，但决不能缺少合理的预防措施；且
    (b)not disclose Confidential Information or any information derived therefrom to any third party; and

    (c)not use Confidential Information except for the Purpose; and
    译：不得出于上述目的以外的其他目的使用保密信息；且
    (d)not reproduce Confidential Information except to accomplish the Purpose, and any permitted reproductions are the property of the Disclosing Party and must contain all proprietary notices or legends that appear on the original; and
    译：除非为了达成上述目的，否则不得复制保密信息，且任何经允许的复制品均归披露方所有，且必须包含原件上出现的所有知识产权告示及说明；且
    (e)not modify, reverse engineer, decompile, or disassemble any software disclosed by the Disclosing Party; and
    译：不得更改、逆向工程、反向编译或反汇编披露方所披露的任何软件；且
    (f)not directly or indirectly export or transmit any Confidential Information to any country to which such export or transmission is restricted by regulation or statute.
