TRANSACTION OVERVIEW

 

KNLOC (the “Sponsors”) is one of the largest lubricant blending facilities in Kuwait (the “Company”) intends to form a new holding company (the “Holding”) capitalized at KD 130 m (approx. $462 m – RMB 3,000 m) to take over the existing operations and expand operations by building a 400,000 tons / annum (“tpa”) base oil plant.

 

The Kuwaiti Sponsors are subscribing to 40% of the Holding’s shares and the Company is seeking multinational strategic partners and/or foreign institutional investors for the remaining shares. The Kuwaiti sponsors are flexible to accept strategic investors from China participating at a level up to 51%, with a structure that will comply with the laws of Kuwait on foreign ownership.
